CompuGroup Mergers and Acquisitions (M&A) Activities

In July 2020 CompuGroup acquired parts of Cerner's business in Germany and Spain. With this transaction, CGM's portfolio includes medico, Soarian Health Archive (S-HA), and Soarian Integrated Care (S-IC), which are hospital information systems (HIS) in Germany as well as Selene, a HIS in Spain. As a result, Koblenz-based CGM, assumes a leading position in the European HIS market. Via combination with existing solutions, in particular through better connectivity, additional value will be created for health professionals and patients.

In April 2018, CompuGroup Medical SE acquired La-Well Systems GmbH based in Bünde, Germany. With the acquisition of the provider of the video consultation software elVi and La-Well Waiting Room TV, CGM is expanding its portfolio to include powerful and leading-edge channels for doctor-patient and doctor-to-doctor communication.

CGM will link elVi in particular with its LIFE product portfolio, including the digital patient file and online appointment management. In this way, new tailor-made offers for service providers in practices, hospitals, and care facilities can be offered for optimal and networked care of patients worldwide. Patients can book video appointments with the attending doctor, conduct the video consultation from anywhere and, if necessary, pay directly online. Communication is supported by the uncomplicated sharing and viewing of medical information. Doctors can safely coordinate their video consultation with their co-treating colleagues and other professionals in compliance with data protection requirements. The solution enables secure video conferences with up to five participants simultaneously.

CompuGroup Market Opportunities, M&A and Geo Expansions

In November 2020, CompuGroup acquired eMDs, Inc. (eMDs), a provider of healthcare IT with a focus on doctors’ practices in the US, reaching an attractive size in the healthcare market worldwide. With this acquisition, the US subsidiary of CGM significantly broadens its position and will become the top 4 provider in the market for Ambulatory Information Systems in the US. eMDs had revenues of approximately $93 million with more than 60,000 healthcare providers.

In January 2020 CompuGroup, concluded a transaction to acquire 100% of H&S Qualità nel Software SpA. With the acquisition of the provider of telemedicine solutions and ICT services for domiciliary care providers, CGM is expanding its portfolio to include powerful solutions for health and social care providers.

CompuGroup Medical acquired 100% of the shares of H&S Qualità nel Software SpA, based in Piacenza, Italy. The former owner and the team stay on board to further develop and expand the company’s solutions and potential. H&S specializes in telemedicine, patient telemonitoring, and Ambient Assisted Living for the elderly with turnkey solutions that support private and public providers to deliver the best health and care services, optimizing processes, and costs. The company also offers customized projects and manages information systems for the main Italian domiciliary care providers as a trusted third party.

In February 2019, CompuGroup Medical SE (CGM) has acquired 100% of Qualizorg BV in a transaction. CompuGroup Medical expands its involvement in one of the most advanced European eHealth systems and markets.

During 2017, CompuGroup Medical strengthened its market position in Belgium with the acquisition of Barista Software and Advanced Technology Explained NV (ATX). Barista Software develops a software solution for general practitioners in Belgium under the name of Daktari. With this acquisition, CGM expanded its product portfolio and is able to offer to the customer a choice according to their own needs. CompuGroup Medical will implement in Belgium its multi-brand strategy for Daktari and Windoc. This strategy is already highly successful in other countries like Germany, France, or Italy. This will bring more power to serve different customer needs, enhance customer satisfaction, and strengthen CompuGroup Medical's continuous growth in market share.

On the other hand, Advanced Technology Explained, based in Wetteren, Belgium, is developing a software solution for dentists, orthodontists, and periodontists in Belgium under the name DentAdmin.

CompuGroup Risks and Challenges

Due to the international focus of the group, incoming and outgoing payments are performed in various currencies. The Group conducts a comparison and balancing of payment streams in individual currencies. The company generally strives to archive extensive natural hedging by its choice of locations and suppliers. At present, the company does not use any derivative instruments to hedge foreign currency exposure. The development of the relevant positions is monitored regularly to ensure a response to significant changes in the positions.
