In October 2020, The industrial conglomerate Honeywell and the oil-services giant Halliburton are teaming up in a surprising way. The pair is bringing cloud-based software applications to Halliburton’s energy-producing clients. The partnership applies the Honeywell (ticker: HON) Forge product—the company’s software analytics platform—to Halliburton’s existing set of products that help oil-and-gas producers manage their processes.

Aims to exploit Internet of Things opportunities with its expertise in building climate control and asset management apps.

Honeywell International Mergers and Acquisitions (M&A) Activities

"In September 2021, Honeywell acquired privately-held Performix a provider of manufacturing execution system (MES) software for the pharmaceutical manufacturing and biotech industries. The Performix MES software will join Honeywell's large and growing portfolio of automation solutions for the life sciences industry, including the recently acquired Sparta Systems quality management software (QMS) and Honeywell's Experion® Process Knowledge System. The combined offerings will address life sciences customer needs across their product life cycles – from automation project execution to optimal production to sustainable quality.

In March 2021, Honeywell International signed an agreement to acquire a majority stake in Fiplex Communications, a Miami-based company that develops in-building communications systems, including bi-directional amplifiers (BDAs) that provide continuous and critical in-building radio coverage in challenging environments to improve the safety of first responders and building occupants. The acquisition will expand the in-building connectivity and communications solutions that Honeywell provides to its customers. Fiplex's solutions will become a platform of innovation for Honeywell wireless technologies.

""As of 2016, Honeywell’s largest acquisition to date was of Elster Group from Melrose Industries PLC. The acquisition was completed for $5.1 billion. Honeywell was attracted to Elster Group’s high-growth product areas and geographical locations. Elster Group is a provider of gas, electricity, and water meters, including all associated communications and software solutions. It reported gross assets of approximately $2.8 billion in 2015 and employed almost 7,000 people.

Honeywell acquired Intelligrated in July 2016 for $1.5 billion in cash. Based in Ohio, Intelligrated employs over 3,000 individuals and is expected to report annual sales of around $900 million in 2016. Intelligrated is being utilized in Honeywell’s sensing and productivity solutions unit within the company’s Automation and Control Solutions division. Honeywell incorporated Intelligrated’s supply chain automation solutions within Honeywell’s current workflow performance processes.

In 2013, Honeywell completed the acquisition of Intermec and spent $600 million in cash in the deal. Intermec provides value to Honeywell in numerous ways, including innovative products, engineering expertise, a broad global distribution channel and valuable technology in the AIDC industry. Intermec is a provider in computing on mobile devices, radio frequency identification services, printing solutions, and data collection products. Intermec will be integrated into Honeywell’s scanning and mobility division.

Honeywell announced in 2013 a definitive agreement to acquire RAE Systems Inc. The privately-held manufacturer makes gas and radiation detection systems. Its products include a full line of fixed and transportable sensing and detection devices sold to the government, emergency response sectors and industrial entities. At the time of the deal, RAE Systems products were utilized in over 120 countries. Founded in 1991 and based in California, RAE Systems was purchased for $340 million.

For $491 million, Honeywell purchased EMS Technologies. The 2011 acquisition expanded Honeywell’s position in the global scanning and mobility industry. EMS Technologies specializes in rugged handheld vehicle-based products. Items sold within the aviation department include rugged data storage, surveillance applications, antennas, and terminals.

For $338 million, Honeywell bought Singapore-based King’s Safetywear in 2011. The deal expands Honeywell’s customer base as KWS’s operations are strategically placed in high-growth areas. Its Otter, King’s and Oliver brands of steel-toe-capped boots are sold primarily in Australia, Asia, and Europe. Honeywell’s motivation for completing the deal was tied to bolstering its workplace safety equipment segment of the business.

In September 2010, Honeywell completed the purchase of Sperian Protection, which manufactures personal protective equipment used in general industry, construction, fire services, and electrical safety segments. Honeywell International Market Opportunities, M&A and Geo Expansions

In June 2021, Honeywell decided to merge its Broomfield quantum-computing division — Honeywell Quantum Solutions — into a new company after merging it with U.K.-based Cambridge Quantum Computing should bring some valuable economic development to the region: a potential public offering, a need for additional space, and jobs. The combined company initially will employ about 350 people, with about 140 in Broomfield. Honeywell will retain 54% ownership of the combined operation, investing up to $300 million in the venture.

In December 2019, Honeywell has acquired Rebellion Photonics, a Houston-based provider of innovative, intelligent, visual gas monitoring solutions that maximize safety, operational performance, emissions mitigation and compliance in the oil and gas, petrochemical and power industries. Rebellion offers real-time monitoring platform that visually identifies and quantifies gas releases to quickly detect and analyze leaks and keep workers safe. The intelligent monitoring system incorporates a sophisticated AI-driven software platform that automatically alerts plant operators if a gas leak, fire or security issue is detected and provides detailed analytics.

The acquisition will become part of Honeywell's Safety and Productivity Solutions business, which provides a wide range of gas detection technologies, safety gear, mobility solutions and software to help workers stay safe and productive. Rebellion's technology will also be deployed through Honeywell's Performance Materials and Technologies business to help process manufacturing customers improve safety and compliance."

Honeywell International Risks and Challenges

Honeywell’s total revenue declined 22% to $32.6 billion in 2020, as compared to $41.8 billion in 2018. The decline in revenue can be attributed to the pandemic as well as the divestiture of its transportation systems business. Honeywell saw a significant impact on its Aerospace PKE +1% business during the pandemic. A decline in overall passenger air travel and cuts in capital spending by the airlines has meant lower revenues for Honeywell’s original equipment as well as aftermarket business. Investors, though, have been optimistic about this business as the economies open up gradually in 2021.
