KnowBe4 Recent Developments
KnowBe4 launched a new feature to its PhishER product called PhishRIPTM, which helps security professionals remove, inoculate and protect against email threats faster. How-PhishER-Works Technical controls do not filter out all of the malicious emails that come into a user’s inbox. Various research has shown that phishing, spam and malware attachments still make it through email filters. Mimecast notes filters are missing 12% of unwanted emails. According to research by the University of Plymouth in the UK, 75% without links and 64% with links of potential phishing messages made it into inboxes and were not in any way labelled to highlight them as spam or suspicious.
KnowBe4 Mergers and Acquisitions (M&A) Activities
In October 20, 2021, the Company entered into an Agreement and Plan of Merger (the “Merger Agreement”) with various entities representing SecurityAdvisor Technologies, Inc., collectively referred to as “SecurityAdvisor”. Under the terms of the Merger Agreement, SecurityAdvisor will become a wholly owned subsidiary of KnowBe4 (the “Acquisition”). The aggregate consideration for the Acquisition will be approximately $80.0 million, subject to post-closing adjustments based on customary purchase price adjustments for cash, net working capital and indebtedness, including transaction expenses incurred in conjunction with the Acquisition. Acquisition consideration consists of approximately $50 million of consideration paid upfront and an additional approximately $30 million of future incentive payments and restricted stock units.
KnowBe4 acquired CLTRe Norwegian company focused on helping organizations assess, build, maintain and measure a strong security posture. CLTRe will continue to operate as an independent subsidiary of KnowBe4, and service customers globally. CLTRe’s Toolkit and Security Culture Framework will be available to all KnowBe4 customers later this year.

The Email Exposure Check Pro (EEC Pro) checks public documents, files and social media for email addresses that have been exposed within organizations. Users’ email addresses will be compared against SpyClould’s massive database to see if any of their credentials or other personal information were exposed in a data breach.
