TXT e-Solutions Recent Developments

Since July 2021, TXT, Politecnico di Milano and ANT-X are collaborating to develop and test innovative solutions and services based on the use of drones cooperating with helicopters to be employed in rescue missions. As a result of the collaboration, it is expected to start further projects, activities, and initiatives on topics such as search and rescue operations, advanced air mobility, drones’ mission management, earth monitoring, and cooperation between different aerial means.

In April 2020, TXT e-solutions selected Daniele Misani as new Chief Executive Officer.

TXT e-Solutions Mergers and Acquisitions (M&A) Activities

In July 2021, TXT e-solutions has finalized the contract regarding the acquisition of the German company TeraTron GmbH ("TeraTron"), acquiring 100% of its capital. TXT will consolidate its results as of 1 August 2021. TeraTron is a German company that has been in the market for more than 20 years, a leader in the provision of innovative IoT solutions for digitalisation, automation and security, mainly in the automotive, industrial (Industry 4.0) and healthcare markets, and a growing presence in other highly innovative and high-tech sectors.

During 2020, more than 5 opportunities were assessed, Due diligence was carried out on various companies and 3 acquisitions were completed. On 15 April 2020, TXT e-Solutions S.p.A. formalised the entry, via a capital increase it financed 60% of, in a FinTech start-up, whose company name is TXT Working Capital Solutions S.r.l., an innovative start-up dedicated to the study and development of solutions for the Factoring and Supply Chain Finance market. The purchase of the 60% shareholding took place via the subscription by TXT e-Solutions of a capital increase for € 0.3 million, plus € 0.5 million of share premium. TXT e-solutions and the shareholders also entered into a Put/Call option contract to purchase the remaining 40% at a price commensurate with the financial and economic results of TXT Working Capital Solutions activities in 2024.

On 13 July 2020, TXT e-solutions S.p.A. has finalised the purchase of MAC Solutions S.A., a Swiss company. Mac Solutions S.A. has been on the market for over 20 years and specialises in providing professional ICT services to the bank sector, supplying and integrating financial software and developing innovative software and Apps designed through the software factory for customers on the Swiss market. At the closing, CHF 5.4 million was paid in cash, of which CHF 2.2 million went in an escrow account linked to Mac Solutions S.A.'s performance over the three-year period 2020-2022.

On 19 October 2020, the final contract was signed for the acquisition of the company HSPI S.p.A., a company specialising in the digital transformation of large Italian public and private companies. At the Closing, € 9.0 million were paid in cash and € 2.5 million were paid by way of ordinary TXT treasury shares.

TXT e-Solutions Market Opportunities, M&A and Geo Expansions

In June 2021, - TXT e-solutions, announced that the Training & Simulation Department of Leonardo's Aircraft Division has selected TXT's expertise and capabilities to collaborate on the development of immersive and augmented virtual reality solutions with the aim of further enhancing the realism of pilot and maintenance training simulators offered in conjunction with its aircraft. The XR (Extended Reality) technology in the TXT Pacelab WEAVR platform will be jointly adapted to aircraft training applications and integrated into Leonardo's simulators.

In April 2019, TXT Group acquired Assioma Group. Assioma Group, an Italain software quality specialist had revenues of $10 milion in 2018.

In August 2018, TXT Group acquired Cheleo, an Italian specialist in the field of design and development of products and services for the life cycle management of financing by financial and banking intermediaries.
