HealthStream Recent Developments
In October 2020, HealthStream launched its Resuscitation Specialty Sims™, which are simulation-based scenarios for healthcare professionals that build off of their foundational resuscitation knowledge and allow individuals to practice cardiac arrest response within their respective specialty environment. The first specialty area, Operating Rooms (OR), is launched in partnership with the Association of periOperative Registered Nurses (AORN). Additional Resuscitation Specialty Sims will be introduced in 2021.
In January 2019, HealthStream launched the American Red Cross Resuscitation Suite, comprised of Basic Life Support (BLS), Advanced Life Support (ALS), and Pediatric Advanced Life Support (PALS) competency-development curricula.
In January 2018, HealthStream launched its new nurse residency solution for hospitals, "Nurse Residency Pathway. " This solution is a structured, yet flexible, 12-month blended-learning program that closes the academic-to-practice gap, optimizing safe, quality care and nurse retention rates.
HealthStream Mergers and Acquisitions (M&A) Activities
As part of HealthStream overall growth strategy, HealthStream has completed seven acquisitions. They acquired Providigm in January 2019, and they acquired substantially all the assets of CredentialMyDoc in December 2019. In March 2020, HealthStream acquired NurseGrid, in October 2020, ShiftWizard, and in December 2020, ANSOS as well as substantially all of the assets of myClinicalExchange. In January 2021, HealthStream acquired ComplyALIGN.

HealthStream Market Opportunities, M&A and Geo Expansions
In March 2020, HealthStream announced that its Board of Directors has approved a new share repurchase program for the Company’s common stock, under which the Company may repurchase up to $30 million of outstanding shares of common stock. Pursuant to this authorization, repurchases may be made from time to time in the open market through privately negotiated transactions or otherwise, including under a Rule 10b5-1 plan, which permits shares to be repurchased when the Company might otherwise be precluded from doing so under insider trading laws in accordance with specific prearranged terms related to timing, price, and volume (among others), without further direction from the Company. In addition, any repurchases under the authorization will be subject to prevailing market conditions, liquidity and cash flow considerations, applicable securities laws requirements (including under Rule 10b-18 and Rule 10b5-1 of the Securities Exchange Act of 1934, as applicable), and other factors. The share repurchase program will terminate on the earlier of March 12, 2021 or when the maximum dollar amount has been expended. The share repurchase program does not require the Company to acquire any amount of shares and may be suspended or discontinued at any time.

In September 2019, HealthStream a provider of workforce and provider solutions for the healthcare industry, its board of directors has appointed Scott A.
